This is a key milestone for potential investors, who recognise it as a business maturity marker. Similarly, it is essential for founders who want to become non-executive directors and aim to create businesses run with excellence rather than staying personally attached to their early-stage business.

Program Key Steps

The program begins with:

  • An initial half-day workshop to establish the current state and capacity of the Directors, Shareholders, the company, and its present and future orientation.
  • A governance documentation review (including industry reference tools and information on running a board for a company at scale), coupled with an eLearning test for founders to complete and reach a pass rate of 90%.

Over the next weeks/months, Matt works with Founders to:

  • Develop a Board Charter to outline how the company at scale will now be run, and define the directors by characteristics and experience, whom you wish to recruit.
  • Develop an organisation chart for the future of the company (by position only) 2-3 years out.

Once the governance and structure has been properly articulated with the Board Charter, Matt provides implementation support by:

  • Assisting the new Chair in the setup and management of Board meetings, governance to lead the company and the coaching relationship with the CEO.
  • Developing a cadence of quarterly or bi-monthly board meetings, using our framework, (consistent with the Charter) to develop the first board pack.
  • Supporting Founders across the way, and attend your first board meeting by invitation, for performance oversight.
  • Working with our recruitment team as necessary, commence your search for a deeper strength in the SLT and the Directors (ideally executives, non-executives, and independents), so the company is structured for the future, not the present.
  • Working with his employment resolution team as necessary to facilitate restructures.

Program Outcomes

This program focuses on delivering the following outcomes:

  • Developing a Board Charter enabling the organisation to scale and be led effectively by a Board.
  • Empowering the Board to articulate the organisation’s strategy and delegate its execution to executive management while having the proper mechanism to not only hold the team accountable but also integrate feedback and adjust course proactively.
  • Launching new governance, including board members and executive recruitment if required.
